Selecting the Mississippi Corporation or LLC Name

When brainstorming for a name for your Mississippi business, it should be remembered that the corporation or LLC name will be unique and will identify you as a separate entity transacting business in the state. The name you choose for your corporation is required to end with “Incorporated,” “Corporation,” “Corp” or “Inc.”. When developing a name for a limited liability company, Mississippi requires that it must end with “Limited Liability Company” or “LLC”.

The name will not be accepted by the state if it is likely to mislead or confuse the public or if it too closely resembles the name of another corporation or LLC formed in Mississippi.

Do not use any type of punctuation such as dashes, periods, underscores or commas in name selection. It is to your advantage to try to name your corporation or LLC so that it identifies with the goods or services you will provide, but this is not a requirement.

Selecting a Board of Directors

A Mississippi corporation can have several members as director but is only required to have one. Since the board of directors is responsible for managing the operations of the corporation, it is suggested that the board of directors be made up of individuals that are officers or shareholders who have some type of daily involvement with the corporation. Mississippi has no minimum age requirements for a director.

Mississippi Taxes

Mississippi corporations are expected to file the Mississippi Corporate Income and Franchise Tax return, Form MS 83-105 or MS 85-100, whether a “C” or “S” corporation. The amount of tax for Mississippi is dependent on a number of factors and there is a minimum franchise tax of $25.00.

LLC’s based in Mississippi is required to file as either a corporation or a partnership dependent on the election made on the SS-4. Mississippi maintains an individual income tax so employers are expected to withhold state income tax. Mississippi maintains a general sales and use tax of 1% to 8% along with each county/city having the right to charge additional amounts.

Registered Agent

The registered agent must have a physical street address within Mississippi state. PO boxes are not acceptable, within Mississippi.
