Selecting the Missouri Corporation or LLC Name

When selecting the name for your Missouri business, you should remember that the name should be unique and will identify you as a separate entity transacting business in the state. The name of a corporation must end with “Incorporated,” “Corporation,” “Corp” or “Inc.”. When developing a name for a limited liability company remember that it must end with “Limited Liability Company” or “LLC”.

Please note that the name you choose will be identifying your corporation or LLC as a unique entity within the state to Missouri consumers, the name will not be accepted if it is likely to mislead the public or be confused with another business entity or if it too closely resembles the name of another corporation or LLC formed in Missouri.

Based on Missouri regulations, you may not use any type of punctuation when choosing the name such as dashes, periods or commas. It is usually advantageous to try to name your corporation or LLC so that it identifies with the goods or services you will provide, but this is not required.

Selecting a Board of Directors

A corporation can have several members on the board of directors, but it is only required to have one. Since the board is responsible for managing the corporation, it is usually suggested that the board be comprised of individuals that are officers or shareholders who have some type of daily involvement with the corporation. A director in Missouri must be a minimum of 18 years of age.

Missouri Taxes

Corporations are expected to file the Missouri Income Tax/Franchise Tax return, Form MO 1120 or MO 1120S annually, whether a “C” or “S” corporation. The amount of tax is dependent on a number of factors and there is no minimum tax.

An LLC within Missouri is required to file as either a corporation or a partnership dependent on the election made on the SS-4. Missouri maintains an individual income tax so employers are expected to withhold state income tax. Missouri maintains a general sales and use tax of 4.225% with cities, counties and districts having the right to impose sales and use tax.

Registered Agent

The registered agent must have a physical street address within Missouri state. PO boxes are not acceptable, within Missouri.
